Legal services

We provide legal services in the following areas:

1. Civil and business law
Our in-depth knowledge of civil and business law - two fundamental areas of private law – allows us to advise clients on a wide range of contentious and non-contentious matters, and to see individual business transactions in a broader context, invaluable for future planning of business transactions.

2. Corporate law
We draft all corporate and related documents necessary to establish a company and ensure it is entered in the Commercial Register. Velíšek & Podpěra offers a complete legal service in connection with day-to-day matters as well as complex corporate issues, including acquisition and disposal of businesses and shares in companies, transaction structuring, and drafting and negotiating contract documentation. The firm advises on corporate mergers, acquisitions and divisions, transformations of legal form, winding-up and liquidation, and can arrange general meetings, implementation of resolutions by the general meeting and other company bodies, and assist with many other company matters as required under applicable provisions of law.

3. Real estate law
The firm advises on greenfield and brownfield projects. We draft all construction and other documents necessary for a successful real estate project, in particular purchase agreements, contracts for works, mortgage, option or easement agreements and advise on all aspects of financing real estate projects. We can also prepare many other propertyrelated contractual documents, including lease or rental agreements, and reverse real estate mortgages.

4. Competition law
Our advice on business transactions takes account of all competition law aspects. We draft and comment on contracts to ensure competition law compliance, and file applications for grant of merger approval and represent clients in proceedings before the Czech Office for the Protection of Competition in connection with distortion of economic competition and breaches of the law on unfair competition.

5. Copyright law
We advise on a wide range of intellectual property rights including copyright and rights pertaining to the performance arts, file trademark applications and represent our clients in trademark and unfair competition disputes.

6. Labour law
Our main focus is on drafting contractual documentation, including employment contracts, managerial and mandate agreements, collective agreements and contracts for the performance of office for members of statutory bodies. We also assist with corporate documents such as internal labour regulations, wage directives, company ethics codes, and other organizational and guidance documents. We also offer advice on execution, amendment and termination of labour contracts, and assist expats assigned to the Czech Republic, as well as Czech expats sent abroad. We have a wealth of experience in representing clients in employment litigation.

7. Bankruptcy law
Rapid business growth in the Czech Republic has led to a rise in the number of insolvencies and bankruptcy disputes: our response has been to focus on the provision of legal advice on business risk management and representation of clients in all bankruptcy-related litigation.

8. Tax law
We work closely with tax advisors when structuring transactions to identify the best legal and tax solutions for our clients, and to minimise any adverse tax implications.

9. EU law
We advise on the relevance of Community law to business transactions and disputes in the Czech Republic (an EU Member State and therefore bound by European legislation). We also specialise in the provision of legal services in connection with obtaining finance from EU structural funds.

10. Due Diligence
The law firm has wide-ranging experience in the conduct of legal due diligence investigations, intended to help clients identify and subsequently eliminate or manage the legal and business risks of a particular transaction. We can also arrange tax and financial audits in close co-operation with tax advisors.

11. Other areas of the law
In addition to all the above, the law firm also advises on construction law, administrative law, capital markets and banking law, promissory notes, bills of exchange and environmental law. We represent clients before courts of all instances, including arbitration courts. Our prime aim is to prevent or settle disputes in order to avoid unnecessary costs.
